Employees may acquire information of a confidential nature relating to the operation, finances, business relationships and trade secrets of ACE. During an employee’s tenure with ACE and for a period of two years following termination thereof, employees are not permitted to, publish, disclose or authorize anyone else to use, publish or disclose, without the prior written consent of ACE, any confidential information pertaining to ACE or its affiliated entities. Following termination of employment with ACE, employees are prohibited from using, publishing, disclosing, or authorizing anyone else to use, publish or disclose, any confidential information which constitutes a trade secret under applicable law.
Employees will not remove or retain any material, or copies thereof, which contain or embody any confidential information of ACE, except for use in the course of their regular authorized duties.
Proprietary Rights, Inventions and New Ideas
Any and all ideas, processes, trademarks, service marks, inventions, designs, technologies, patents, copyrights, products, marketing ideas, improvements, etc. whether or not patentable, conceived, developed or created that meet the following criteria are considered works made for hire and are held and owned solely by ACE:
- Relate to ACE’s current or contemplated business or activities,
- Relate to ACE’s actual or demonstrably anticipated research or development,
- Result from any work performed by an employee for ACE,
- Involve the use of ACE’s equipment, supplies, facilities, or trade secrets,
- Result from or are suggested by any work done by ACE or at ACE’s request, or any projects specifically assigned to the employee, or
- Result from the employee’s access to any of ACE’s materials.
Employees are required to mark all Subject Ideas or Inventions with ACE’s copyright or other proprietary trademark are required to take all actions to protect ACE’s rights therein. In addition, employee agrees that any Subject Ideas or Inventions shall be deemed to have resulted from Employee’s access to ACE Materials if it grew out of or resulted from Employee’s work with ACE or is related to the business of ACE for two (2) years after termination.
